Yes being a new investor, I was not a hundred percent sure if the Series LLC structure would come into play here in California. As Tim said, thanks for the clarification.

Greg -

I have been using California LLCs for years now and I always did think about filing in another state to avoid the $800 but now thank you for fully clarifying it for me. That was the way I read the law as well but just needed another set of eyes before I followed the crowd.

Personally I don't think California will ever allow/honor the Series LLC structure because it can't figure out how to collect enough taxes as it is!

Thanks for the insight!

Ryan, from a tax standpoint you may be better off with a limited partnership so you don't get hit with additional tax that you will have to recognize on your Canadian tax return if you are a member in a US LLC.

I am a Canadian...my partner is in the USA. Is it possible for us to form an LLC in the states? We will be doing business in the states as well and not Canada.

Is there a better way that I'm not thinking about?
