Here&#8217;s Why I&#8217;m Happy About It."},"content":{"rendered":"\n<p><span data-preserver-spaces=\"true\">I work and invest in <\/span><a class=\"editor-rtfLink\" href=\"https:\/\/www.biggerpockets.com\/markets?market=Boise%20City%2C%20ID\" target=\"_blank\" rel=\"noopener\"><span data-preserver-spaces=\"true\">Boise, Idaho<\/span><\/a><span data-preserver-spaces=\"true\">. You\u2019ve probably heard of that city before, but <\/span><span data-preserver-spaces=\"true\">it\u2019s doubtful<\/span><span data-preserver-spaces=\"true\"> you know much about it. <\/span><span data-preserver-spaces=\"true\">The <\/span><span data-preserver-spaces=\"true\">important<\/span><span data-preserver-spaces=\"true\"> thing to know, at least for this purpose, is that our population is booming, and builders <\/span><span data-preserver-spaces=\"true\">just<\/span><span data-preserver-spaces=\"true\"> can\u2019t keep up with the demand for housing.<\/span><span data-preserver-spaces=\"true\">&nbsp;<\/span><\/p>\n\n\n\n<p><span data-preserver-spaces=\"true\">As you know, low supply and high demand <\/span><span data-preserver-spaces=\"true\">have a direct impact on<\/span><span data-preserver-spaces=\"true\"> the cost of living.<\/span> <span data-preserver-spaces=\"true\">So in<\/span><span data-preserver-spaces=\"true\"> response to this issue, the city of Boise uniformly overhauled most of <\/span><span data-preserver-spaces=\"true\">our<\/span><span data-preserver-spaces=\"true\"> residential zoning code over the last winter.<\/span><span data-preserver-spaces=\"true\">&nbsp;<\/span><\/p>\n\n\n\n<p><span data-preserver-spaces=\"true\">For approximately 75% of residential lots, these<\/span><span data-preserver-spaces=\"true\"> changes increased allowable density by more than 50%. They created new zoning districts and designations that allowed unlimited density as long as <\/span><span data-preserver-spaces=\"true\">you could meet setback requirements. They<\/span><span data-preserver-spaces=\"true\"> created <\/span><a class=\"editor-rtfLink\" href=\"https:\/\/www.biggerpockets.com\/blog\/accessory-dwelling-units-explained\" target=\"_blank\" rel=\"noopener\"><span data-preserver-spaces=\"true\">ADU<\/span><\/a><span data-preserver-spaces=\"true\"> regulations that allow <\/span><span data-preserver-spaces=\"true\">for<\/span><span data-preserver-spaces=\"true\"> basically any residential lot to get a rubber-stamped permit.<\/span><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span data-preserver-spaces=\"true\">New Zoning Laws Create Opportunities<\/span><\/h2>\n\n\n\n<p><span data-preserver-spaces=\"true\">There<\/span><span data-preserver-spaces=\"true\"> is so much opportunity for infill and large-scale developments <\/span><span data-preserver-spaces=\"true\">with these changes<\/span><span data-preserver-spaces=\"true\">. The city is really trying to create more density and housing\u2014partly because they want to <\/span><span data-preserver-spaces=\"true\">get<\/span><span data-preserver-spaces=\"true\"> the cost of living <\/span><span data-preserver-spaces=\"true\">down<\/span><span data-preserver-spaces=\"true\"> a bit, but also<\/span><span data-preserver-spaces=\"true\">, <\/span><span data-preserver-spaces=\"true\">more housing equals higher tax revenue.<\/span><span data-preserver-spaces=\"true\">&nbsp;<\/span><\/p>\n\n\n\n<p><span data-preserver-spaces=\"true\">Based on the new zoning, we found an opportunity to build up to 24 units on two acres in a very desirable part of town. <\/span><span data-preserver-spaces=\"true\">One <\/span><span data-preserver-spaces=\"true\">of the vital parts<\/span><span data-preserver-spaces=\"true\"> of this development was that the city required another developer who developed an adjacent lot to bring the sewer line to the edge of this lot, knowing that it would eventually be developed.<\/span><span data-preserver-spaces=\"true\">&nbsp;<\/span><\/p>\n\n\n\n<p><span data-preserver-spaces=\"true\">We were able to get the property under contract, with the owner carrying a note and smaller balloon payments spread out <\/span><span data-preserver-spaces=\"true\">over the course of<\/span><span data-preserver-spaces=\"true\"> two years. We met with an attorney to draw up our operating agreement and get our partnership and SEC filing in order. At the same time, we were working with an architect to help <\/span><span data-preserver-spaces=\"true\">come up with<\/span><span data-preserver-spaces=\"true\"> our preliminary layout, maximizing the available space within the new zoning code to create as much density as possible.&nbsp;<\/span><\/p>\n\n\n\n<p><span data-preserver-spaces=\"true\">With these pieces of the puzzle in place, we <\/span><span data-preserver-spaces=\"true\">were able to get<\/span><span data-preserver-spaces=\"true\"> a preliminary meeting with planning and zoning. We sat down with the city planner and our architect, and I was pleasantly surprised at just how eager the city seemed to be to help us make this project work.&nbsp;<\/span><\/p>\n\n\n\n<p><span data-preserver-spaces=\"true\">At the direction of the City Council, planners were supposed to help people make efficient use of the new zoning code and create as much density as possible. <\/span><span data-preserver-spaces=\"true\">The planner helped us button up our design and even <\/span><span data-preserver-spaces=\"true\">made suggestions for<\/span><span data-preserver-spaces=\"true\"> how we could limit easements and egress <\/span><span data-preserver-spaces=\"true\">in order to<\/span><span data-preserver-spaces=\"true\"> create more units.<\/span><span data-preserver-spaces=\"true\">&nbsp;<\/span><\/p>\n\n\n\n<p><span data-preserver-spaces=\"true\">Based on our progress, one of the larger commercial general contractors in our market gave us a verbal commitment to build out the project. <\/span><span data-preserver-spaces=\"true\">The <\/span><span data-preserver-spaces=\"true\">owner of the company<\/span><span data-preserver-spaces=\"true\"> not only gave us direct access to their project manager<\/span><span data-preserver-spaces=\"true\">, but<\/span><span data-preserver-spaces=\"true\"> said they were interested in investing in the project themselves.<\/span><span data-preserver-spaces=\"true\"> We walked the property with the project manager and got suggestions and feedback from them <\/span><span data-preserver-spaces=\"true\">as well<\/span><span data-preserver-spaces=\"true\">.&nbsp;<\/span><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span data-preserver-spaces=\"true\">The Deal Hits a Roadblock<\/span><\/h2>\n\n\n\n<p><span data-preserver-spaces=\"true\">Now that we had preliminary support from the city and documents filed, we were able to start raising funds. <\/span><span data-preserver-spaces=\"true\">We hit up our spheres<\/span><span data-preserver-spaces=\"true\">, and we<\/span><span data-preserver-spaces=\"true\"> talked to existing clients and other developers around town. After a handful of live and recorded webinars, <\/span><span data-preserver-spaces=\"true\">we had many investors commit<\/span><span data-preserver-spaces=\"true\"> to investing in the syndication based on our preliminary numbers, which were quite conservative.<\/span><span data-preserver-spaces=\"true\">&nbsp;<\/span><\/p>\n\n\n\n<p><span data-preserver-spaces=\"true\">Everything was going smoothly, and we were about <\/span><span data-preserver-spaces=\"true\">10<\/span><span data-preserver-spaces=\"true\"> days from the close of <\/span><a class=\"editor-rtfLink\" href=\"https:\/\/www.biggerpockets.com\/blog\/what-is-escrow-and-how-does-it-work\" target=\"_blank\" rel=\"noopener\"><span data-preserver-spaces=\"true\">escrow<\/span><\/a><span data-preserver-spaces=\"true\">. Out of the blue, we got an email from the city public works engineer stating that the city hadn\u2019t planned for the density that the code allowed and that the sewer in this particular neighborhood couldn\u2019t support the capacity for our project. So rather than building 24 units, the city would only approve one.&nbsp;<\/span><\/p>\n\n\n\n<p><span data-preserver-spaces=\"true\">As you can imagine, that changes the numbers a bit. So we spent a few days going back and forth with the city, offering some potential solutions to this issue, to which <\/span><span data-preserver-spaces=\"true\">we were met<\/span><span data-preserver-spaces=\"true\"> with a \u201cmaybe\u201d on all accounts. Well, maybe it isn\u2019t a comforting answer when you <\/span><span data-preserver-spaces=\"true\">are betting<\/span><span data-preserver-spaces=\"true\"> millions of dollars on an investment.&nbsp;<\/span><\/p>\n\n\n\n<p><span data-preserver-spaces=\"true\">We needed more time to find a possible solution or get a definitive answer about this sewer capacity issue. We went back to the seller and asked for an extension. The only way they would grant it was for us to release all of our earnest money to them, which <\/span><span data-preserver-spaces=\"true\">was not going to<\/span><span data-preserver-spaces=\"true\"> happen when we were walking into such uncertain waters.&nbsp;<\/span><\/p>\n\n\n\n<p><span data-preserver-spaces=\"true\">Therefore, after a couple of months of effort, hundreds of hours of work, and <\/span><span data-preserver-spaces=\"true\">something in the range of<\/span><span data-preserver-spaces=\"true\"> $15,000 spent on architects and lawyers, we had to terminate the contract a few days before closing.<\/span><span data-preserver-spaces=\"true\">&nbsp;<\/span><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span data-preserver-spaces=\"true\">Why I\u2019m Glad It Didn\u2019t Work Out<\/span><\/h2>\n\n\n\n<p><span data-preserver-spaces=\"true\">That was about six weeks ago. I wasn\u2019t happy that we had to terminate<\/span><span data-preserver-spaces=\"true\">, but I<\/span><span data-preserver-spaces=\"true\"> was relieved and incredibly grateful that we got that information before we closed\u2014and definitely before we took any actual deposits from investors. And what a great lesson: Everything was going well until it wasn\u2019t, and that seemingly small piece of information completely changed everything.&nbsp;<\/span><\/p>\n\n\n\n<p><span data-preserver-spaces=\"true\">So why, do you ask, am I happy that it didn\u2019t work out? So many reasons:<\/span><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><span data-preserver-spaces=\"true\">For one, we got a very cheap education in <\/span><a class=\"editor-rtfLink\" href=\"https:\/\/www.biggerpockets.com\/blog\/commercial-real-estate-due-diligence\" target=\"_blank\" rel=\"noopener\"><span data-preserver-spaces=\"true\">due diligence<\/span><\/a><span data-preserver-spaces=\"true\">. Many people have paid much more than we did <\/span><span data-preserver-spaces=\"true\">in order to<\/span><span data-preserver-spaces=\"true\"> learn the lessons we learned. <\/span><\/li>\n\n\n\n<li><span data-preserver-spaces=\"true\">We interviewed several contract and syndication attorneys and developed an excellent working relationship with an experienced, talented lawyer. <\/span><\/li>\n\n\n\n<li><span data-preserver-spaces=\"true\">Several other developers in our market recommended a specific architect, who just happened to be an old high school friend of my wife\u2019s, so we reconnected and have a very experienced teammate who already has developed relationships with P and Z<\/span><span data-preserver-spaces=\"true\">, as well as<\/span><span data-preserver-spaces=\"true\"> the city council.<\/span> <span data-preserver-spaces=\"true\">In addition, he is an expert on the new city code<\/span><span data-preserver-spaces=\"true\">, <\/span><span data-preserver-spaces=\"true\">and is helping us <\/span><span data-preserver-spaces=\"true\">with<\/span> <span data-preserver-spaces=\"true\">underwriting<\/span><span data-preserver-spaces=\"true\"> new deals based on his experience in getting projects approved.<\/span><\/li>\n\n\n\n<li><span data-preserver-spaces=\"true\">There were so many people in our network who I had no idea had the interest or the means to invest in something like this who made commitments to invest their hard-earned cash in our project. <\/span><span data-preserver-spaces=\"true\">New relationships were forged<\/span><span data-preserver-spaces=\"true\">, and it\u2019s been so great seeing others step out of their comfort zones along with us. <\/span><\/li>\n\n\n\n<li><span data-preserver-spaces=\"true\">We didn\u2019t lose anyone\u2019s money but our own. <\/span><span data-preserver-spaces=\"true\">We\u2019ve <\/span><span data-preserver-spaces=\"true\">gone back<\/span><span data-preserver-spaces=\"true\"> to our investors and filled them in on the situation, and that transparency has <\/span><span data-preserver-spaces=\"true\">actually<\/span><span data-preserver-spaces=\"true\"> increased their trust in our work.<\/span><\/li>\n\n\n\n<li><span data-preserver-spaces=\"true\">The best part: Less than a week after we terminated the agreement, we had a <\/span><em><span data-preserver-spaces=\"true\">better <\/span><\/em><span data-preserver-spaces=\"true\">opportunity under contract, with better terms, higher density, and a closer match to the new city code. <\/span><span data-preserver-spaces=\"true\">In addition, some of the surrounding property owners have expressed interest in partnering with us and expanding the project <\/span><span data-preserver-spaces=\"true\">in a very significant way<\/span><span data-preserver-spaces=\"true\">.<\/span><span data-preserver-spaces=\"true\">\u00a0<\/span><\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span data-preserver-spaces=\"true\">Final Thoughts<\/span><\/h2>\n\n\n\n<p><span data-preserver-spaces=\"true\">This experience <\/span><span data-preserver-spaces=\"true\">just<\/span><span data-preserver-spaces=\"true\"> confirms my attitude about taking action.<\/span> <span data-preserver-spaces=\"true\">You can read all the books and listen to all the podcasts, but <\/span><span data-preserver-spaces=\"true\">unless you take action,<\/span><span data-preserver-spaces=\"true\"> you won\u2019t make any meaningful progress.<\/span><span data-preserver-spaces=\"true\">&nbsp;<\/span><\/p>\n\n\n\n<p><span data-preserver-spaces=\"true\">I have found time and time again in<\/span><span data-preserver-spaces=\"true\"> my 20-plus-year investing career that every single time an opportunity passed me by or didn\u2019t work out, something better presented itself almost immediately.<\/span><span data-preserver-spaces=\"true\"> It just works that way if you keep your eyes open.&nbsp;<\/span><\/p>\n\n\n\n<p><span data-preserver-spaces=\"true\">And yes, we\u2019ve already verified that the sewer capacity for the new project location is appropriate.
