Replacing HVAC Unit and Ducts

My tenant complained about not getting enough heat last week. There are only two rooms in the upstairs townhouse that are getting low air flow. The HVAC company came out and said that the HVAC unit is too big for the area (100bcu?) and needs a smaller unit (60bcu). Also, that the duct work is too small and needs to be replaced as well. Originally they said I need a return air duct to get more air going to the second floor. Now they're trying to replace the entire unit and ducts for $10,000. What should I do?
