Arkansas LLC - foreign registration of owner LLC?
Hi,
I'm in the process of establishing an Arkansas LLC, but I want my Wyoming LLC to own it. If I set up my Wyoming LLC as a foreign entity in Arkansas, do I have to have a separate registered agent from Arkansas registered agent?
Help appreciated!
Carrie
If you need this complicated a setup, you should have competent counsel advising you. Conversely, if you do not already have competent counsel advising you, this setup may be overly complicated for your situation. There are too many organizations out there helping people set up LLCs they don't need, but cost them a lot of time and money. Worse, they can create unforeseen risk, because the owner does not know how to properly manage them.
Generally, when you are operating an LLC from one state in another state, you will need a registered agent and will need to file the annual documentation required by that state for both the local and foreign entities.
Did you find your answer to this? Depending on what you plan to do you may not even be "doing business" in Arkansas. You can buy and hold real estate in Arkasnas with a Wyoming LLC without registering as a foreign Entity if you are just buying and holding as you are not conducting business. That is my understanding of the Arkansas business code but I am not a Real Estate Attorney and this is just my understanding after spending a lot of time on what is "doing business" in Arkansas studies. If you were to buy a MF and begin renting out units you are absolutely conducting business.
