Q: Direct Bank Assets : N/S California

As an investment adviser, I've been working with separate accredited investor entities who have been looking to diversify their individ. ports. via comm.r.e . Although I am also a commercial broker, I've only done conventional deals with buyer / seller rep in place via assigned/listing brokers.

Now that I potentially have a direct relation with Bank assets, I am unfamiliar with the process in dealing directly with the bank. Are they responsible for the commission fee if an eventual deal does surface? Is the structure similar to the buyer, intermediary and seller mandates? What types of agreements should be drawn if we wish to negotiate a fee from the said seller/bank in the event my investors do purchase assets directly from them?

If someone could help clarify this that would be greatly appreciated.
