Hey BiggerPockets,

Currently looking for recommendations on a Corporate structure attorney in NJ who specializes in business matters. (S-corps, LLC's, shareholder agreements, employee contracts, etc.)

For corporate formation, I recommend Ms. Frances Tomes in Freehold, NJ. She handles corporate formation for all of my entities and does real estate litigation as well.

Also, I recommend having separate attorneys that specialize in specific things. For example, I have a corporate formation and real estate litigation attorney (Ms. Tomes), a real estate contract attorney, a foreclosure attorney (for my foreclosure investing business), and a closing attorney. All of my attorneys specialize in each of what I listed and are the best at what they do.

A gentleman started a business with no idea what to do. So he told me about it and I decided to help. So this business is a real estate investment company and with about 75k in a business account I decided to build capital with a few fix and flip while figuring out the direction of his company. What should I be asking for in return in helping him get going and also should I be looking to 50/50 this fix and flips or 60/40? He really has 0 input in the process and being that 75k is not much I’m using a hard money lender to complete the first few deals
