From a legal perspective (not tax): Trust me, I get tired saying this part; you may want to talk to a local attorney regarding what the appropriate "winding down" procedure is for the particular style of corporation that this is in that particular state.

Plus, why in the world would you ever want to do this out of state when there are plenty of investable properties in your own backyard, where you can kick the tires, meet the borrower, and see the progress.To me, the benefit of fractionalizing is being able to invest with a relatively small sum of money, subject to Account Closed's excellent comment on the 10% limitation (look up CA SB 978).

I even posted here on BP about passing the deal to somebody who might want to house hack, got some tire kickers but nobody who wanted to engage. 20 years ago when I was young and single, I would have jumped on the deal and handled the permitting issues myself while living in the crappiest unit.
