First, Second, and Third Mortgages: Why Lien Position Matters

A first, second, and third mortgage can be secured by the same property. Each has a different place in the repayment order, which affects the lender's risk and the loan terms.

Private Money Solutions has funded more than $3 billion in first, second, and third mortgages since 2001 as a family office direct private lender in Southern California. Here's why a second or third mortgage is underwritten differently from a first mortgage.

What Lien Position Means

A first mortgage generally holds the senior position. A second mortgage sits behind the first, and a third sits behind both. Actual priority depends on the title record, applicable law, and any agreements affecting the liens.

Senior liens generally have priority over junior liens when collateral proceeds are distributed. A second-position lender therefore needs enough supported property value to cover both the first mortgage and the new loan.

Look at Total Debt

Assume a property is worth $5,000,000 and has a $3,000,000 first mortgage. The borrower requests a $500,000 second mortgage.

The new loan is only 10% of the property's value. However, total secured debt after closing would be $3,500,000, or 70% combined loan-to-value. That combined figure is more useful when evaluating the equity protecting the second mortgage.

A third mortgage requires the same analysis, with both senior loans included. A small loan can still carry significant risk if most of the property's value is already covered by existing debt.

Can I Get a Second or Third Mortgage Without Refinancing the First Mortgage?

Yes! A borrower may have a favorable first mortgage and need additional capital for a business purpose. Where the equity and existing loan terms support it, a second or third mortgage can provide funds without replacing the first loan.

A private mortgage lender will review the existing loan's payment history, interest rate, terms, and outstanding balance, along with title and any other obligations, before structuring the additional financing.
