➡️For borrowers on DSCR Loans utilizing an LLC, there is a typical set of “entity documents” required to provide. Typical required documents of LLCs include:
📄 Articles of Organization: Filed with the Secretary of State where the LLC was formed. It must be the stamped, state-filed version and proves the LLC exists.
📄Certificate of Good Standing: An official document issued by the Secretary of State confirming that the LLC is legally registered, active, and in compliance with all state requirements such as annual report filings and any required state taxes. In most states, it’s valid only for a set period, often 60 to 90 days from the issue date, which is why DSCR Lenders often require a recent version at closing. The certificate itself doesn’t automatically renew; the LLC must stay compliant year-round to remain “in good standing,” and a new certificate can be requested at any time. A current Certificate of Good Standing is typically required from the state of formation and from the property’s state if they’re different (i.e. a “foreign entity registration”).
📄Operating Agreement: Outlines how the LLC operates, ownership percentages, management structure, and crucially signing and borrowing authority.
📄Borrowing Certificate or Member Resolution: A formal document authorizing the loan and designating the signer. This document is typically required if the Operating Agreement doesn’t clearly state borrowing authority.
📄Ownership Schedule: Shows members and their ownership percentages, necessary for DSCR Lenders to confirm which owners need to sign full guarantees for the loan. This is required only if an ownership schedule is not included in the operating agreement, which is common.
📄EIN Confirmation Letter (IRS Form SS-4): Verifies the entity’s Employer Identification Number. Single-member LLCs may sometimes use the owner’s SSN, but many DSCR Lenders prefer an EIN.
