Seeking Key Principal / Balance Sheet Partner — 10-Unit Value-Add Multifamily, VA

Member since 2026 · 26 posts · 6 votes

Hello,

I'm a GP/operator here in Roanoke, VA under active contract negotiation on a 10-unit fully occupied multifamily property. I'm looking for one passive Key Principal to complete the capital stack. This is a long-term hold strategy — not a flip, not a syndication — with a structured buyout that returns your capital plus profit within 3–5 years while you collect cash flow the entire time.

───────────────────────────

WHAT YOU GET AS THE KP

───────────────────────────

• Equity stake in a cash-flowing, fully occupied multifamily asset from Day 1

• 8% preferred return on your invested capital, paid from cash flow distributions

• Participation in appreciation above your preferred return

• Loan guaranty fee — you will be compensated for serving as guarantor, not just for your cash

• A defined buyout at Year 3–5: as the property's NOI grows and the asset appreciates through the value-add execution, I refinance, return your full capital contribution plus accrued preferred return, and purchase your equity stake at a formula-based fair value — giving you a clean exit without having to sell the property

• Full financial transparency: monthly reporting, annual statements, and open-book access to the asset's performance at all times

• You are passive in every respect. You do not manage tenants, vendors, or contractors. You do not make operational decisions. You show up at closing, receive distributions quarterly, and get bought out when the time comes.

Projected returns on a $151,000–$165,000 equity contribution:

— Cash-on-cash: 5.5% Year 1, growing to 13%+ by Year 3 as rents reach market

— Buyout value at Year 3–5: full capital return + 8% annual preferred return + equity appreciation share

— Your money is secured by a hard asset with a senior lien — not a paper promise

───────────────────────────

WHAT I NEED FROM YOU

───────────────────────────

• Credit score of 700+ and verifiable personal net worth sufficient to satisfy commercial lender requirements (typically net worth ≥ loan amount)

• Liquid capital of approximately $151,000–$165,000 to contribute as equity toward the down payment and closing costs

• Willingness to sign as loan guarantor on a commercial multifamily note

• A passive mindset — I need a balance sheet partner, not a co-operator

If you've guaranteed commercial loans before, that experience is a plus. If this is your first time serving as KP, I'll walk you through exactly what it means and what lenders require.

───────────────────────────

WHAT I AM DOING

───────────────────────────

I am the GP and operating partner. Here is exactly what I handle — you handle none of it:

• Sourcing and underwriting the deal (already completed)

• Negotiating the purchase price and seller carry note structure

• Arranging and coordinating all financing

• Managing all due diligence — inspections, lease abstracts, title, environmental

• Executing the value-add business plan: pushing below-market rents to market as leases turn, unit by unit

• Selecting and overseeing property management

• Managing all distributions, reporting, and investor communications

• Executing the Year 3–5 refinance and KP buyout

• Building toward 100% sole ownership of the asset over time

About me: I'm Steven Haskins, Principal of Haskins Capital LLC (Roanoke, VA). BSEE, MBA, 20 years of engineering and capital operations experience. I currently serve as Director of Capital Expenditures at Virginia Transformer, one of the largest transformer manufacturers in North America, where I manage multi-million dollar capital programs. I have deep underwriting experience across the Roanoke multifamily market and established relationships with the top commercial brokers in the city.

───────────────────────────

THE DEAL IN BRIEF

───────────────────────────

• 10 units, fully occupied, Roanoke VA

• Rents currently well below market — clear, near-term upside as leases turn

• Going-in cap rate: 6.88% | Year 1 NOI: ~$67,000

• NOI grows to ~$88,000–$94,000 by Year 3–5 as rents stabilize at market

• Negotiated purchase price: $875,000

• Capital stack: senior bank loan + partial seller carry (under discussion) + KP equity

• No speculative projections — the upside is baked into existing below-market leases

I'm not posting the address publicly. Qualified parties will receive the full underwriting package, proforma, rent roll, and deal summary under a simple NDA.

───────────────────────────

If this fits your profile, drop a comment or DM me directly. I'll respond to every serious inquiry with a brief qualifier before sharing deal materials.

    Interesting structure.

I’ve been spending a lot of time recently studying multifamily capital stack structures, bridge-to-perm scenarios, and preferred equity/KP relationships on value-add assets, especially in secondary markets.

The refinance-and-buyout approach tied to NOI growth is something I've been seeing more operators discuss lately as an alternative to immediate disposition strategies.

Sounds like you’ve put serious thought into alignment between the GP and KP side of the deal. Wishing you success getting the remainder of the stack completed.

I find and negotiate these deals all of the time. The hardest part is finding true KP to accept the deal.

Interesting structure — especially the defined buyout framework for the KP. Most posts looking for guarantors are vague on the actual exit, so the fact you outlined refinance + equity repurchase mechanics makes this much more credible.

The biggest thing sophisticated KPs are probably going to focus on here is:

    • debt structure,
    • refinance feasibility in Year 3–5,
    • and how conservative the rent growth assumptions really are relative to the Roanoke market.

A fully occupied 10-unit with below-market rents is usually a much stronger story than heavy renovation/value-add plays, especially in the current lending environment.

The seller carry component could also make this significantly more attractive if structured correctly.

Curious what leverage range the senior lender is discussing and whether the refinance exit is being modeled at today’s rates or a more normalized environment. Feel free to DM — would be interested in seeing how the capital stack is being structured.

    Quick answers on your questions:

Senior leverage: Modeled at 70% LTV on a negotiated purchase price, using a portfolio lender rather than agency — which gives flexibility on the subordinate seller carry position.

Refinance modeling: The Year 3–5 refi is stress-tested at current rates, not a compressed environment. Exit cap rate is held flat at going-in, so there's no cap rate compression assumption baked into the return. The return story comes from NOI growth, not market timing.

Rent growth: Below-market leases are the entire thesis — not construction, not heavy renovation. The gap is $270/unit/month across all 10 units. Market rate validation is part of the diligence package I'm assembling now.

DM sent — happy to walk through the full capital stack structure and where we are on the seller carry conversation.

    @Steven Lester Haskins

Hi Steven, this is a well-structured opportunity. We work with investor/commercial financing scenarios and may be able to be a resource on the debt side or help review the capital stack. Since this involves a 10-unit asset, KP/balance sheet requirements and lender structure will be key. Happy to connect if you’re open to discussing the financing side.
