Has anyone ever seen the Town of Breckenridge, CO take a position on whether an STR license can remain in place after a stock sale or other equity sale where the property stays titled in the same entity? The STR remains under the same entity with the same EIN, but the owners of that entity change.
This does not appear to trigger any technical requirement under the Town's ordinances or STR rules that would automatically require a new STR license. That said, I was curious whether anyone has actually encountered this and seen the Town take a position one way or another.
Appreciate everyone’s input. I ended up finding the answer to my own question here.
The general rules addressing non-transferability of STR licenses in Breckenridge when there is a sale of the property from one person to another say:
At first, that seemed to leave an obvious workaround by structuring
the deal as a transfer of stock or membership interests in the holding
entity rather than as a transfer of the actual property. But a 2021
amendment appears to address that too:
So I read that as meaning the STR license terminates if ownership of the holding entity changes, even if title to the actual property does not.
I've spent quite a bit of time researching the Breckenridge STR market, including the town's regulatory environment, but I haven't come across anything indicating that a stock sale or equity transfer automatically invalidates an STR license where the property remains titled in the same entity and the EIN remains unchanged.
That said, I haven't specifically researched transferability in the context of ownership changes at the entity level, so I'd be interested to hear from anyone who has gone through the process directly with the Town.
My understanding has generally been that Breckenridge focuses heavily on the licensed entity, permit compliance, and operational requirements, but whether a change in beneficial ownership triggers a review is a more nuanced question.
Please post an update if you receive clarification from the Town, as I suspect it's relevant to more investors than might appear at first glance.
