Hi Jay, I’d be interested in connecting and learning more about this opportunity. I work in real estate investing and financing, and I’m always open to exploring well structured joint ventures. Could you share a few more details about the project, the closing capital required, and the anticipated timeline? I’d be happy to connect and see if there’s a potential fit.

@Jay Solomon In order to do what you propose while maintaining SEC compliance is extremely costly. I would recommend looking into an alternative approach that doesn't treat the capital raise as a transaction by transaction basis unless the transactions were much larger.

Jay, the 50/50 structure is interesting, especially with the project already shovel ready. Since the conversation is moving toward capital and timeline, I’d also make sure the tax and accounting structure is settled before the partnership is formed.
If one partner is bringing the capital and the other is bringing the deal, development work, or other services, I wouldn’t assume a simple 50/50 split automatically reflects the tax and economic arrangement. For a development intended for resale, I’d track the project separately from day one, including acquisition costs, construction, carrying costs, selling expenses, and each partner’s contributions. I’d also have the CPA and attorney make sure the operating agreement and tax allocations actually match the deal.
That becomes especially important if the project needs additional capital, the timeline changes, or the partners eventually do multiple projects together.
The deal should work on its own numbers, but getting the JV structure and project accounting right upfront can save a lot of headaches later.
