Proc. 93-27/2001-43. ]The "gets his capital back first" structure you're describing creates special allocation issues under IRC §704(b)—if the partnership agreement doesn't satisfy "substantial economic effect" testing, the IRS reallocates everything based on ownership percentages and your deal structure falls apart.
