U&O and Title

I made an offer on a property. Full ask, all cash. Signed the preliminary paperwork, agreed to the seller's quick close, and was ok with his agent being in some way related to him. He comes back and asks that I agree to paying u&o and one other thing that my agent thought might be a red flag. That other thing escapes me right now. We did some digging and we're comfortable moving forward. They insisted on using their own title company which I would be OK with normally but when we suggested to use our own, we were told that would be a deal breaker. My partner wants to walk away since we felt there might be some info being hidden and their willingness to walk out on the deal over a minor concession. I'm trying to figure out what a worst case scenario could be if they are, in fact, trying to hide something.
