how to set up a Non disclosure agreement?

An NDA is specific to the information you are trying to protect. A discussion with a real estate attorney is in order since no one can second guess the intent or local requirements to make an NDA effective.

 That is why you need an attorney. Few will know the specific requirements (what will actually be enforced by the courts if it is ever violated). When I sold very large computers for a Fortune 200 company, my NDA didn't allow me to work for a competitor for two years. Someone challenged the NDA and won. A muli-billion dollar company had an NDA they couldn't enforce.
