Accredited investor qualifications

Hi yall!

I'm generally aware of the requirements to qualify as an accredited investor for 506c offerings EXCEPT it's unclear to me on the $300k joint income requirement for past two years and expectation to maintain/exceed it.

My questions are:

1. If tax returns are used to qualify do they go off Gross Income, AGI, or something else?

2. Can (or should) depreciation writeoffs for investment properties be added back in for gross income and qualification purposes in order to help meet the $300k mark (i.e. if a cost seg was done this year)?

3. Does previous/current participation in a 501b offering help or contribute towards accredited status at all?

Thanks much, happy hunting and wishing y'all many blessings!

B
