My thoughts are that before you ever put anything in writing you had better consult with a qualified securities attorney.

Private financing should come from personal contacts and referrals, absolutely not from passing out advertising or running ads unless it is in compliance with applicable law.

Everything you write down and present can be used against you when things blow up.

The link provided, while rather standard issues, is not really something to design a prospectus around, much of that should be addressed personally in a private meeting.

We can certainly kick around ideas but the internet is no place to get advice to act on in this area, especially from non-attorney types. Don't get caught up with someone with ten years experience in RE and who has given themselves some title speaking of how to raise funds from investors. Get professional, current information. :)
