Hello,

My name is Joe, I am a former Wall st broker who now invests money for clients in private deals. Primarily my investments have been in tech start-ups, general small business loans and a big gold mine project in Alaska. I have yet to do a real estate deal but have been approached by numerous clients looking to get involved. I have builders and property owners on the other side of the equation and I need to learn how to structure these deals.

Looking for any and all information.

Hi Joseph

Best of luck on your new endeavor.  Your best bet is to speak to an attorney who deals with creating private placement memorandum, subscription agreements.  When you start raising funds for a deal, you in effect begin to create a security and you want to have the correct paperwork.
