Raising capital with shares

Hey guys! 

First off, I'm fairly new to BP forums, so this might not be in the right forum, so admins, feel free to move it wherever It belongs :)

My question: How would one goes to raise capital by creating a company (that will buys and holds property) and selling private share to friends and family? I know quite a few person that would like to invest but don't want to get their hands dirty (they want to invest as passive as possible). What I would like to do is create a cie, pour my money with theirs, go out in the world and buy multi-family renting property. But I just don't where to start to build that company set up. I mean, what if someone would like, after some time, to get their money (and profit) back. How do you proceed if someone want to pitch in after a couple years? The set up I'm talking about would by like a REIT, but private (aka not on the open market).

Hi @Samuel Lacroix, I'm not sure how it would be setup in Canada but down here that would be a syndication which is a security and governed by SEC law.
