!Deed to Land Trust w/equity! Advice please

I have a seller who is willing to Deed property into a Land Trust.

The Property is worth (M.V.) 415k.
The Seller wants 315k
I have a buyer for 365k
Is it okay to Deed to Land Trust to make a spread for myself?

This is not a Short Sale but the property is in PreForeclosure for the past 7months w/ Option One. The lien holder has just filed Notice of Trustee Sale for June. (I know what you’re thinking)

Also I'm a Realtor acting as an "investor"
