Holding Company Registration

Heeeeyyyy BP! I was listening to a mastermind about tips on finding private investors. The speaker advised registering a holding company for the funds they invest with you. I'm in DE and the state requires an annual tax of $300 to keep the entity in good standing. (I know I'd also need a registered agent). I was thinking of registering the LLC in PA as it's just over the line so I can set up a bank account easily and the state doesn't require an annual fee for the LLC. The properties I'm looking to invest in are currently in DE, but I do want to eventually start investing OOS. Are there any legal issues to registering OOS vs in the state of DE for the LLC? I just don't want to get jammed up to save myself $300 and it turns out to be a bigger headache...
