By that it means that IF an offering complies with Reg D then (1) the SEC will not in the future determine that the offering fails to meet exemption from securities registration (2) the offering is exempt from state securities laws (but still need to file “offering notices” in those states where the offering is active (3) if sued by a disgruntled investor the sponsor has a “definitive defense” and a”statutory” defense, absence fraud.
