Property worth $100k.3 - HCP replaces FCP 5 months from start of Partnership.4 - Based on Step #1, FCP gets their $80k back plus 7% (3+1+1+1+1) of $80k investment = $5,600>>>Total of $85,600 from...5 - ...the HCP.6 - If cost to HCP is above break even with the FCP. then the REI (I bet you were wondering why I mentioned the REI in the beginning) gets the overage.This is just an example to show the mechanics of the deal.

Setting up an LLC with two or more investors coming together in the same LLC would be treated as if the party doing the 1031 Exchange is actually buying a membership interest (partnership interest) in the LLC, which would be treated as a partnership for tax purposes.
