Besides the letter I would have a sit down with her....talk about the issues, ask her how she can resolve them, ask her to commit to resolution. 

My theory is that when people contact me, in their mind, that counts as taking action, even if resolution hasn't been completed.

Sometimes title companies want a copy of your operating agreement to make sure who can sign for a deal.If your operating agreement says all members have to agree to a deal you can still have a resolution signed by the members to allow only one to sign documents for a specific deal.

I do this with the couples that I counsel with all the time and it helps them move past the arguements and towards resolution. 

The parent should have in its books a resolution authorizing creation of the child series, duly signed by the required members and the secretary.

If I'm your contractor in this situation and you bring me the solution, while I'd be slightly embarrassed In the moment, I'd welcome the amicable resolution and move on.  

Non-emergencies get responded to within 72 hours not the next day, and resolutions to non emergencies get scheduled at your convenience after the 72 hour window to respond.
