It does not appear that you are not violating SEC Syndication rules, as you are asking them if they considered private lending.

This is true especially if the owner occupied unit is able to be rented down the road at a profit which appears to be the case in the situation that you described.  

On this particular subject property  - it appears that everything is brand new which is one of the reasons I didn't add more for the Cap x - but I understand the importance of building it into numbers.
