250 Unit Apt Community Investment in Houston, TX for Accredited Investors

Hi everyone, 

After underwriting hundreds of multifamily deals for the last two years I have finally found a deal that I love. And I'm looking for a small # of accredited investors to invest in it. My company is investing in the deal as well because I believe in it so much. 

Some highlights: 

- it's in a top school district in Houston 

- our local mgmt partner has a VERY impressive track record of implementing this same biz model 

- it was built in 2000 and has been institutionally owned so it's well taken care of however there is a lot of upside opportunity by upgrading units and increasing rents. In fact, 32 of the 250 units have already been upgraded and achieved our projected rents.

I am not a lawyer and this is not legal, investment or other regulatory advice but I like to think of 506(b) as the one that does not allow most people to see it and 506(c) as allowing more forms of advertisement. Like just about everything in this realm there is scant clarification and until there are real issues or rules are passed  that make it irreverent (like the JOBS Act provisions) it won't be entirely clear where the line is. I have heard lawyers who think many of the 506(b) syndications are playing with fire in terms of what is advertising even though the SEC gave a no action letter for major players in the space as early as 2013 . Of course, the flip side to that is that 506(c) can be a huge pain for many in a business like RE or even equity markets where reported income can be low and assets that are tough to verify in terms of their value ex. their primary home.
