Partnership Agreement Contract

Does anyone have a good templet of a Partnership Agreement Contract. I was advised not to use a joint venture agreement, since I wanted to keep my LLC and another parties accounts separated and not wanting to open up a new account. I drafted the document as to show how capital was invested, roles of each party, and how the profits and losses were going to be accounted. But the legal advice I just received said that I can not use it. Been searching for an hour now and can't find one that will work for what I am trying to do. Thank you in advance for the help!
