Canadians Investing in the US Corporate legal structure

Raj Ahluwalia

Hi All!

I'm looking for some clarity on cross-border legal structures for both liability purposes and taxation purposes for Canadians investing in the US.

I'm reading that having an LP / LLC structure is the most efficient as an LLC is treated as a Corporation in Canada and causes double taxation.

I'm looking for confirmation that this is in fact the most common structure used, and if so, does the LP own the LLC or does it have an operating agreement?

Thank you!
