Certificate of Partnership

I have this lady with whom I am interested in partnering with but I have no idea of the legal repercussions of an official "partnership". Nor do I have any idea how the entire wholesaling process goes. (That is basically what she's doing). For instance what happens when you "go under contract" and cannot find a buyer? She sent me a certificate of contract but I'm kind of nervous being new in the game. Any advice or anyone willing to look over the contract?
