Extremely great reply Justin Thank You! LLC seems to be the way to go. Why not a C-Corp or Sub S though? Is there any thoughts on that?

Put each property in a land trust? Of all the research I've done so far, I haven't heard of that one. Could you elaborate a little more on that Chris?

Am going to do both buy and holds and flips. For the buy and hold side I'll probably have to find seller financing. For flips my strategy is to partner up with financers in exchange for a percentage ownership in the profits of each project I do. Once I get enough cash I can expand the business and take more profits for myself, just trying to get my foot in the door. But wasn't sure what entity best suits the investment side of real estate. I am a real estate broker right now and am a sole proprietor. Any advice would be great.

I am a licensed broker in Oregon. Seems to me the buyer's agent was acting in an illegal manner by lying to the buyers about the how the purchase price came to be. In Oregon, there are state laws governing how agent's deal with their clients, and if this took place in Oregon, she would be in it deep if the buyer's decided to file a complaint with the Oregon Real Estate Agency. Because you are not licensed, you are not governed by the same laws as the licensed. I believe if the buyers closed this transaction without the agent, the buyers could be liable for the commission, as there is such a thing as Implied Agency, not you, as you did NOT sign a fee agreement with the broker. But because of the broker's actions, I doubt she would put up much of a fight as she knows she acted detrimentally with her clients. "I would" tell the buyers to fire their agent for her actions, and to state those actions clearly in an email as well as a phone call, and proceed with sale. Even without the agent's actions, it is difficult for an agent to pursue a commission through the court as it is bad PR. Sucks for us, but sometimes that is the name of the game. I do not feel bad for her however, as she obviously has bad character. She probably will get her license revoked at some point, or end up in the court room in a bad situation. Also, I would pay the small fee to meet up with an attorney to clear it up.
