Consult with an attorney and CPA.

Different valuation methods can be used. Hire a real estate appraiser to do the valuation.

If you are selling equity interested, possible positive tax treatment as capital gain. Your cpa can share more.

There are a few on here who work with international clients. Make sure the CPA you hire is experienced in cross border tax planning and working with international investors. Issues of concern are getting an ITIN, annual tax compliance including Form 1040NR, partnership withholding forms 8804/8805 if applicable, and FIRPTA if applicable. Also, if single member LLC, additional information return required in many cases - Form 5472.

Interest tracing rules govern. Hard money used to acquire real estate. Interest is tax deductible.
