Good insight on the slim margin for this opportunity. 

Sometimes ya gotta' know when to hold 'em and know when to fold 'em.

Which taxing agency is holding the lien? Are they negotiable? (probably not-they've got the 'high-ground')

But like my dad used to say: "Ya don't know how far a frog will jump, 'till ya pock it!"

Nick,
I recommend "Certified Tax Coaches" and "Certified Tax Planners".
Do an internet search for those designations "near me".
They have tax-saving strategies that most tax preparers have never even heard of.
PLUS they specialize in real estate.

What is the ethical thing to do?

Do you need to buy out your JV?

Communicate with your JV, perhaps they will be glad to be out from under the loan, which ties up their borrowing capacity.

Oh, and in AZ--wear sunscreen!

Look in your area. They are everywhere and they find tax savings in places that most tax preparers have never heard of.

Go to the American Institute of Certified Tax Planners. 
Look in your local area for a Certified Tax Coach.

These folks should satisfy your criteria. They specialize in tax saving strategies using real-estate as the primary vehicle for minimizing tax and keeping more money in your investments and scaling your operation.

Check out lawyers.com and search for HOA.

Here are three that seemed like possibilities. 

  1. : Located in San Antonio, this law firm serves people and businesses in various areas including Real Estate Law.
  2. : Based in Dallas, they offer services in Real Estate and Business Disputes among others.
  3. : This law firm has been serving Waco and Central Texas since 1925.

For a DEEPER DIVE, go to the States Legislative Register and find out who proposed the law changes. Bet you it is a law firm that will make lots of money from the new legislation.

The County Assessor is not likely a fool.

Also, when it is discovered, by the County, the building inspector may determine that your property it is not habitable because there were no inspections of the work as it progressed.
