In MA the in state LLC must disclose at least one name of a Manager. They do not list the members. So @Client WY will have to be listed as a Manager in this case... Makes sense??
Can I just list myself as the Manage on the MA LLC, that way I can sign docs with disclosing WY on the docs. Whats the harm??

@Mike S.
I did list the member in WY. To my understanding, they do not make that info public but we still have to list the members.

Thanks @Mike S. I did read that article 112.06
So basically if the foreign entity is not doing business in MA then it doesn’t need to register as foreign.
Now am not sure if anything special had to be done when I formed the foreign entity in WY. Beside listing the member, the register agent and address in that state.

@James Denon
Charging order protection and anonymity. MA names the names public.

Does anyone know if its possible to have a WY LLC own a Massachusetts LLC?
All that I can find is the WY entity must register as a foreign in MA.
I have a single member WY holding LLC and wanted to make it the owner of a MA LLC.
Anybody with a MA entity done this??
@Mike S.
I get your point, @Mike S. All makes sense the way you lay it out.
@Clint Coons way of signing as shown below makes sense now.
Property LLC
—————
By John Doe, manager of holding LLC as it member manager.
Or
Property LLC
By Holding LLC, managing member

By John Doe, Manager

I would say If your stage doesn’t disclose managers names thn that may be the way to go. Most states do disclose that information that is why the property llc is set up as member managed.
Documents aren’t signed everyday, so Personally don’t think it will be too much of a deal to sign regardless of how long the signature maybe.
I wonder if a signature stamp maybe used 🤔. Anybody use them?

@Mike Jones You do not need to add the officer position. I just provided that information as a point of reference for the future when putting together your operating agreements. The reason I use the technique is to avoid the convoluted signing process when using a member managed LLC. As to your question about how do you sign with a member managed LLC this is how it is typically handled:
First Base LLC
___________________
By Clint Coons manager of Home Plate LLC as its member manager
Keep in mind this is only one way to sign and others are acceptable.
Can the signature look like this ??:
Property, LLC.
______________
By John Doe, Member manager of Holding, LLC.
Or
By John Doe, Holding, LLC managing member.
Trying to make it as short as possible.
Thanks
