Mauricio, I’m not familiar with the Reg D exemptions. I’ll have to read into it.

Correct me if I’m wrong, but what I hear you saying is that if the investor is an active participant in the investment, then the project wouldn’t be classified as a security? Due to the investor being active vs being passive. Is that the main differentiation?

I like the idea doing capital calls with the same group of investors. Seems like a more streamlined way of doing deals.

Scott thank you for the insight. I definitely will be hiring an attorney. I just wanted some basic information before speaking with an attorney. Like I said I know the technical side of things, not so much the legal side.

Hello, I hope everyone is having a great Sunday. I have worked in Finance my entire professional career. Starting out as a credit analyst for BB&;T, I spent my younger years reading through 10Ks, 10Qs, financial statements, SEC documents, etc. creating “spreads” and credit analysis for different types of businesses. I say all of this to say, with all of my technical knowledge, I lack in the basic understanding of when one would need to file form A documents when dealing with multi family investing?

If I have a group of investors who are looking to fund deals on a debt or equity basis, at what point would I need to file the SEC documents?

Would I need to file documents for each deal?

Any and all advice is greatly appreciated.

Thank you for your response. I’m looking to raise money for multi family developments. Most of these properties will be class C to D properties located within opportunity zones within metropolitan cities. I’m not sure that my company has scaled to a level to complete our first syndication. So, is there a way to do this on a smaller scale and avoid the SEC filing requirements? Let’s say if my investors are a group of private professionals who wants somewhere to park their money, would I need to file?
