Interesting. I wouldn't necessarily run away. For a lawyer time is money so his services in representing himself wouldn't be free. Lawyers already work long days taking on more litigation which is open ended isn't something people even lawyers look forward to. Yes he could not represent you in that deal because it would likely violate NY bar rules. If it's a good deal and you have competent representation on it then I wouldn't let him being a lawyer stop you. In real estate deals the agreements play a big part on who is the ultimate winner if you draft strong agreements whether this guy is a lawyer or not he isn't going to want a fight if it's clear in the documents how it would play out.

If you would still like a partner let me know. I am a CPA but have not invested in multi family previously. Not sure how serious you are at this point but whether it's academic or not practice reduces risk.

You should definitely be concerned with their credentials as a CPA (unless they are a lawyer). Anyone can prepare taxes. No license is needed. The no minimum is that they be a CPA. They need to know depreciation rules, tangible property rules, make sure all the right deductions are taken (most things are deductible even a portion of your cell phone if used for business). They should know basis rules especially if you are investing through a Corp or partnership. Ask that your K-1 come with a basis schedule.

It's the recommended contract from both the FL bar and FL realtors association. What governing body is going to fine or sanction you for using this? I thought people were encouraged to use this form?

Yes it doesn't matter where your CPA is really. I'm a CPA and I prepare returns for many states so do other accountants. If you like your CPA keep him/her.

Just go on Sunbiz.org spend some time there and review the different forms. Read some articles on how to form a business in FL. Not sure why you need an LLC or what type of business you have. Compare single member LLCs with multi member LLCs I'm FL and what the tax consequences of each are. After you have looked at that you should repost and be specific about what area you need assistance with. For example is it applying for an EIN, or filling out the articles of organization, or getting a sales tax ID number, or filing a tax return.

Alper is a great lawyer by the way and local to you.  You may want to spend a little money and avoid the problems later.

MM LLC in FL much better asset protection than SMLLC in FL.
