@Carl Fischer Thanks, I hadn't thought about it that way. Just make it a simple transaction outside of the LLC, no partnering required.

I will be discussing options with lawyer, but am trying to come prepared so that I'm not paying for time while they "look into options".

Do you think setting it up as a LLC taxed as an SCorp would accomplish this.

I’d be paid a salary, most of the profits, and then split the profits from there, reducing distributions.

@Carl Fischer What agreement structure would you suggest? Trying to figure out how to build their capital account while reducing the pass through income. 

I want to own the property in an LLC for asset liability protections.

Looking for advice on how to structure a deal to minimize tax consequences for my partner. 

I am partnering up with another person who just wants to bring money to the deal. All they ask for is equity appreciation down the line and would love not to have any annual distributions to pay taxes on. 

Any idea if we can form a LLC and setup the operating agreement in a manner to do this? Basically I take all the NOI every year and we split the appreciation when we sell?

Or just setup a note or personal loan to minimize income?

SDIRA is not an option. 

No disclaimer required, I got it. Just trying to see how to skin this cat. 

I appreciate any insight and will talk through ideas with my attorney and CPA.

@Zach Elcott  I’d echo @Gulliver R. that these seem expensive for their size especially if you’re going to add in any financing. 

Good news is that you're close and will be able to do everything yourself. Bad news is that the next buyer may not and will have to factor in additional expenses, reducing NOI.

It comes back to your goals and what your looking to get out of it.
