Hey @Carl Fredrickson - under 506(b), it is self-certification, so the investor determines if their net worth is $1,000,000 or not. One of the misconceptions is that this is liquid net worth - it is not. It is all assets less all liabilities, exclusive of primary residence (both debt and equity in the home). So, in this case, the burden is on the investor to tell you the truth.
For 506(c), have them get a letter from a 3rd party attesting to their accreditation status: CPA, lawyer, or RIA or a third party service provider. Best of luck!

A profit to THEM. In other words, any return on investment. So yes, this also applies to debt investors. Profit does not mean profit on the project/company. It means any return made by the investor.
