Quote from @Dylan Brown:

One thing that is unique about S corporations that you will not find in partnerships is that you are required to file a tax return just through your existence.

unlike partnerships, which only require you to file a tax return if you show a profit or loss, I agree that you should technically file both 2024 and 2025.

 Ok, thanks.

Quote from @Ashish Acharya:

@Susan K. Since your Florida LLC elected to be taxed as an S Corp and was active (even if unused) in 2024, you're required to file a Form 1120-S for 2024—even if there was no income or activity. However, since the dissolution occurred in April 2025, the "final return" box should be marked on your 2025 return, not 2024.

So here's what you need to do:

  • File a 2024 Form 1120-S and issue K-1s (even if all zeros)
  • File a 2025 Form 1120-S next year, marking it as the final return
  • Ensure you file any final state filings or account closures with Florida
  • If you filed an S Corp election (Form 2553), no further action is needed unless revoked

Even with no activity, the IRS still requires these returns to maintain compliance and close the entity properly. Let us know if you'd like help filing a zero-activity return quickly and accurately.

 Ashish,

Thanks for the advice.

Quote from @Stephen Nelson:

You should do the 1120S for all the years the entity was in existence. E.g., if it was "alive" in both 2024 and 2025, do both years.

 Ok, thanks Stephen.

I have a Florida LLC taxed as S Corp opened in 2024. Never transacted any business, never used it. Dissolved the LLC April 2025. Can I do a 1120-S and K1 and mark the box "final reutrn?" Or do I need to mess with this again next year since I dissolved it in 2025? Again, did not use the LLC in 2024 or 2025. Also, please advise if I need to do anything besides the 1120-S and K1. Thanks.

Ok, I will watch that.  Thanks so much.

Hi,

We have a revocable living trust. Do any of you hold your BRRRR rental properties in your trust? If so, did you create a second separate trust just for the rentals? Just trying to figure out if we should put them in an LLC, put them in our personal names (for easier financing), and/or put them in our trust.

Also, if you are buying them in an LLC are you using an S Corp?

Thx.

Thanks Jason for the response.  More money going to the IRS.  Ugh.
