Thanks @Eric Brown for the feedback. Overall that's the consensus I've been getting while reading about dealer vs investor status ...... determining the intent, but every situation  is different and does require speaking with a tax professional.

Hello Greg, @Greg Scott  thanks for bring these details to my attention. My partner is a contractor with 10 plus years experience, who I trust. The scope of work have been completed with a rahab quote at approximately 80k. The comps in the area are $300-$325. 

So initially, he was working on his own separate  project and I was working on getting pre approved for a conventional for my next property. I was wondering where to get the 20% down payment. Than I came up with the idea to do a joint venture. He owns the property, and I can get financing done since his hard money loan didn't work out, and I wouldn't  have to try to come up with the 20% down payment.

I've never done a formal contract in references to a joint venture, so where should I start, with a RE attorney?
