I agree on the likely outcome, still sad that these Reps can think they can score some votes by even proposing such unconstitutional things, see Sb147 in Texas. Won't pass, but gets them the publicity they want.

For sure, i agree with you 100%. Just giving an objective concern for newer/smaller investors. Some people will not like it regardless of the motivation.

You'll need to pay whatever equity he has, so $1m. I doubt they'll allow a junior sub lien.

Just put your info in the LOI, get an agreement in writing with the buyer, but honestly, you have to trust your investors to a degree.
