Alfred, there are numerous deal analyzers. Ultimately the best one is the one that is best for you, i.e. depends on preference. To name a few: Syndicated Deal Analyzer by Michael Blank, Robert Beardsley's Deal Analyzer (that one you can pull for free), Rod Klief's deal analyzer (if you sign up for his upcoming 1-20-2023 boot camp I think you might get it as part of the library package but not sure), Synthesis, Justin Goodin's model. There are probably others but these are most frequently used.

Agree with the posts above - best to connect with an attorney. I would note, that many are not aware that CA has an annual franchise fee. Thus, even if your LLC is foreign (i.e. out of state), as a CA resident you will still be required to pay the CA annual franchise tax for such LLC ($800 usually).

There are a couple of ways to approach this. In my view, if you already have soft commitment from passive investors (and it sounds like you do), the most efficient way to approach this would be to find and partner up with an operator who you know, like, and trust and who already has relationships with brokers as well as the infrastructure to take deals down.

Rod Khleif has an in-person boot camp coming up in Denver. I attended the virtual one last year before in-person events were back on and would recommend it.
