@Justin R. my comment has nothing to do with the "capabilities of a DST" and has everything to do with why you need to follow securities laws when using a DST. I work with a big broker here in southern California who only sells interests in DSTs and every single transaction must comply with securities laws.

505 doesnt exist anymore. Many states don't allow 504s. my recommendation is to stick with 506.

1. You have an exemption, as an issuer, in most circumstances from being an investment advisor. 2.) Yes. It does. As long as it is a dissemination of information to persons you do not have a "substantive pre-existing relationship" with, it is a general solicitation if you are making an offer to sell securities. 3.) No. You should be exempt so long as you follow the guidance under Rule 3(a)(4)-1 under the Securities Exchange Act of 1934. This basically says you have to have other responsibilities other than selling securities and you can't take a commission. I hope this helps.
