A syndication investment sold in December. The Sch K-1 was not marked "Final" because the sponsor held some money back. My CPA says the capital gain can not be offset by the passive losses because "the passive Activity must be disposed of in its entirety". Is he correct?

Under the new tax law, is there a benefit to changing the tax status of my LLC? I was listening to a podcast when the speaker mentioned that some RE investors were changing the tax status of their LLC to be taxed as a S-corp.
NOT changing the LLC to a S-corp, only the tax status.
